Terms & Conditions

These terms govern your use of Audientis, the audio technology platform operated by Audientis Audio Technology. By creating an account or using the service you enter into an agreement with Audientis Audio Technology.

1. Who you are contracting with

Audientis is operated by Audientis Audio Technology ("we", "us", "our"). Audientis is a trading name of Audientis Audio Technology. Your contract for use of the service is with Audientis Audio Technology.

If you use the service on behalf of a company or other organisation, you confirm you have authority to bind that organisation to these terms. If you use it as an individual, you confirm you are of legal age in your country.

2. Acceptance of these terms

By creating an account, starting a trial, purchasing a plan or otherwise continuing to use the service, you agree to these terms. If you do not agree, do not use the service.

We may update these terms to reflect changes to the product, the law or our business. Material changes will be announced in the app or by email before they take effect.

3. What the service is

Audientis analyses audio you provide and produces measurements, scores and suggested corrections across products including Mix Mentor, Master Mentor, Stem Intelligence and Axiom, and provides METRA DJ performance software in the browser and as a downloadable macOS application. Audio decoding and analysis largely run locally in your browser or on your computer.

Some products need a paid plan. Browser access to METRA DJ requires an active Enterprise plan; the METRA DJ macOS application is sold separately as a one-off purchase. The products included in each plan are shown on our Pricing page at the time you buy.

Desktop software is provided for the operating systems and hardware listed on its product page. Compatibility with specific audio interfaces and DJ controllers is not guaranteed, and you should check it during the refund period.

The service guides; you decide. Suggestions are advisory only and are never applied to your files without your action.

4. Your account

You must provide accurate account information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity that happens under your account.

Tell us promptly if you believe your account has been accessed without your permission.

5. Acceptable use

You must not misuse the service. In particular, you must not:

  • use the service for any unlawful purpose, or in breach of any applicable law or regulation
  • commit fraud, send spam, or misrepresent your identity or affiliation
  • infringe the intellectual property, privacy or other rights of any other person
  • upload audio or other content you do not have the rights to process
  • interfere with the security or integrity of the service — including uploading malware, probing or scanning, circumventing technical or plan limits, or scraping the service
  • reverse engineer, decompile, resell, sublicense or redistribute the service or any part of it

6. Your content and rights in audio

You keep all rights in the audio, reference tracks, projects and other content you provide. You confirm you own or are licensed to use everything you upload or process.

You grant us a limited licence to host, transmit and process your content only to the extent needed to operate the service for you — for example to sync a cloud project you have chosen to create.

Rights holders may report content they believe infringes their rights by emailing legal@audientis.com with details of the work and the material concerned. We will review takedown requests promptly, may remove or restrict access to the material concerned, and may suspend or terminate accounts responsible for repeated or serious infringement.

7. Our intellectual property

All rights in the service — software, analysis engines, models, documentation, designs, Audientis and Audientis Audio Technology branding — remain owned by Audientis Audio Technology or our licensors. Nothing in these terms transfers ownership to you.

You receive a limited, non-exclusive, non-transferable right to use the service within the plan you have selected. See our Licence Agreement for the detail.

8. Accuracy of analysis and outputs

Measurements, scores and suggested corrections are produced automatically and may be incomplete or inaccurate. They are a reference, not a verdict, and are not a substitute for your own listening and professional judgement.

You are responsible for how you use outputs, including verifying results before release, delivery or any commercial use.

9. Payment, subscriptions and one-off purchases

Subscription plans renew automatically for the billing period you selected (monthly or yearly) until cancelled. Where a free trial is offered it is shown at checkout; if you do not cancel before it ends, the first payment is taken automatically. Not every plan includes a trial.

You can cancel a subscription at any time from Billing & Usage. Unless stated otherwise at the time, you keep access until the end of the period you have already paid for, and you will not be charged again.

If a renewal payment fails, your plan is marked as overdue and you keep access while our payment provider retries the payment. You can update your card from Billing & Usage. If all retries fail, the subscription is cancelled and paid access ends.

Upgrades and downgrades take effect immediately. Any unused value of your previous plan is credited proportionally by our payment provider.

The METRA DJ macOS application is a one-off purchase. It gives the purchasing account a licence to download and use the version and updates we make available to it; it does not include a subscription plan.

Payment, billing, taxes, invoicing and cancellations are handled by our payment provider. Please read Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.

10. Refunds

We offer a 30-day money-back guarantee on every purchase, including subscriptions and the METRA DJ macOS application. If you are not satisfied, you can request a full refund within 30 days of your order date.

Refunds are processed by our payment provider, Paddle. To request one, visit paddle.net or contact our support team. Paddle's Refund Policy at https://www.paddle.com/legal/refund-policy also applies.

When a refund is issued or a chargeback is raised, the licence or plan access bought with that payment ends. This does not affect your statutory rights as a consumer.

11. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

12. Availability and support

We work to keep the service available and performant, but we do not guarantee that it will be uninterrupted, error-free or free from data loss. Maintenance, updates and factors outside our control may affect availability.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, satisfactory quality and fitness for a particular purpose.

13. Suspension and termination

We may suspend or terminate your access where:

  • you materially breach these terms and do not fix the breach after notice
  • payment is overdue or a chargeback is raised
  • there is a security, fraud or legal risk to us, our users or third parties
  • you repeatedly or seriously violate the acceptable use or content rules above

14. After termination

You may export your account data at any time from Settings while your account is active, and you can delete your account yourself. After termination we will retain your account data for 30 days so you can reactivate or export, then delete or anonymise it, subject to any legal retention obligations.

15. Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, data, studio time or goodwill.

Our total aggregate liability arising out of or in connection with the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.

16. General

You may not assign these terms without our consent. We may assign them as part of a merger, acquisition or reorganisation.

Neither party is liable for failure to perform caused by events beyond its reasonable control.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any mandatory consumer rights in your country of residence.
